Investment firm Blackwells Capital LLC intends to nominate three individuals for Disney’s Board of Directors at the 2024 Annual Meeting of Shareholders this spring, The Walt Disney Company shared in a statement.
Disney defended their current Board, calling them an “experienced, diverse, and highly qualified Board that is focused on the long-term performance of the company, strategic growth initiatives including the ongoing transformation of its businesses, the succession planning process, and increasing shareholder value.”
The statement is similar to their response to Trian Fund Management nominating their founder Nelson Peltz and former Disney CFO James Rasulo.
Disney’s current Board of Directors includes Chairman Mark G. Parker, CEO Bob Iger, Mary T. Barra, Safra A. Catz, Amy L. Chang, Francis A. deSouza, Carolyn N. Everson, Michael B.G. Froman, Maria Elena Lagomasino, Calvin R. McDonald, and Derica W. Rice. In November, Disney announced the appointment of two new directors: James P. Gorman, Chairman and Chief Executive Officer of Morgan Stanley (effective February 5), and Sir Jeremy Darroch, a veteran media executive and former Group Chief Executive of Sky (effective January 9).
On Wednesday, Disney also announced an agreement with ValueAct Capital for the firm to consult on strategic matters and stated they would support Disney’s own recommended nominees for the Board.

The Walt Disney Company confirmed today that Blackwells Capital LLC, together with its affiliates (collectively, “Blackwells”), has provided notice of its intent to nominate three individuals for election to the Company’s Board of Directors at the 2024 Annual Meeting of Shareholders.
Disney has an experienced, diverse, and highly qualified Board that is focused on the long-term performance of the company, strategic growth initiatives including the ongoing transformation of its businesses, the succession planning process, and increasing shareholder value.
The Governance and Nominating Committee, which evaluates director nominations, will review the proposed Blackwells nominees and provide a recommendation to the Board as part of its governance process.
The Company expects to file preliminary materials with respect to the 2024 Annual Meeting of Shareholders with the Securities and Exchange Commission (“SEC”), which will include the Board’s recommended slate of director nominees. Disney shareholders are not required to take any action at this time.
